Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Distribu platform, marketing site, APIs, and related services (collectively, the "Service") provided by Distribu ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.
1. Accounts
You must be at least 18 years old and authorised to act on behalf of your business to create an account. You are responsible for:
- Keeping your credentials secure and not sharing them with anyone outside your authorised team.
- All activity that occurs under your account, including actions taken by any user you invite and any API keys you create.
- Notifying us promptly at security@distribu.app if you suspect unauthorised access to your workspace.
2. Plans, billing, and trials
Distribu offers subscription plans with different feature tiers and limits. Current pricing is posted at distribu.app/pricing.
- Billing cadence. Subscriptions are billed monthly or annually in advance, as selected at signup, via our payment processor Stripe.
- Free trials.If we offer a trial, we'll state its length and any conditions at signup. At the end of the trial, your card will be charged unless you cancel beforehand.
- Plan limits. Each plan has caps on team members, customers, products, API calls, and similar resources. See the pricing page for the current numbers.
- Upgrades & downgrades. Upgrades take effect immediately and are prorated. Downgrades take effect at the end of the current billing period.
- Late payment.If a charge fails, your account may be marked "past due" and we may suspend access until payment is made. See our billing documentation for details.
- No refunds for partial periods. Fees paid are non-refundable except where required by law.
3. Your content
You retain ownership of everything you upload or create in the Service — your product catalog, customer records, orders, returns, invoices, and any other data ("Customer Content"). By using the Service, you grant us a limited, worldwide, royalty-free license to host, store, transmit, and display Customer Content solely to provide the Service to you and your authorised users.
You are responsible for the accuracy and legality of Customer Content, including obtaining all necessary rights and consents from your own customers before uploading their personal information into the Service.
4. Acceptable use
You agree not to use the Service to:
- Violate any applicable law or regulation.
- Send spam, malware, or unsolicited marketing communications.
- Attempt to probe, scan, or test the vulnerability of the Service without prior written permission.
- Interfere with the integrity or performance of the Service, including by circumventing rate limits or usage caps.
- Reverse-engineer, decompile, or otherwise attempt to derive source code from the Service, except where such restriction is prohibited by law.
- Resell, sublicense, or offer the Service as a white-label product without a separate written agreement with us.
We may suspend or terminate accounts that violate these rules, with or without notice depending on severity.
5. APIs, webhooks, and integrations
The Distribu REST API and webhooks are provided as-is under these Terms plus any additional technical constraints documented at distribu.app/docs/api and distribu.app/docs/webhooks. We reserve the right to change, deprecate, or rate-limit API endpoints with reasonable notice. Breaking changes, when they occur, will be introduced on a new API version; existing versions will remain supported for a reasonable transition period.
6. Third-party services
The Service integrates with third-party services (such as Stripe for payments). Your use of those third-party services is subject to their own terms. We are not responsible for third-party services.
7. Intellectual property
The Service, including its software, design, trademarks, and documentation, is owned by Distribu and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription term, subject to these Terms. No other rights are granted.
If you submit feedback, suggestions, or feature requests, you grant us an unlimited, royalty-free license to use that feedback to improve the Service.
8. Termination
You may cancel your subscription at any time from the billing settings. Cancellation takes effect at the end of the current billing period; you retain access until then. After termination, your data will be retained for 30 days to allow export, then permanently deleted, except as described in the Privacy Policy.
We may terminate or suspend your account if you materially breach these Terms, if we are required to do so by law, or if we discontinue the Service.
9. Disclaimers
The Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability. We do not warrant that the Service will be free of errors, defects, or security vulnerabilities.
10. Limitation of liability
To the maximum extent permitted by law, Distribu and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service.
Our total liability for any claim arising out of or related to these Terms or the Service shall not exceed the greater of (a) the fees you paid to us in the 12 months preceding the event giving rise to the claim or (b) USD $100.
11. Indemnification
You agree to defend, indemnify, and hold harmless Distribu and its affiliates from any claim, damages, or expenses (including reasonable attorneys' fees) arising from your Customer Content, your violation of these Terms, or your violation of any law or third-party rights.
12. Governing law & disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Any dispute arising out of or related to these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts.
13. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a prominent notice in the Service at least 14 days before the change takes effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
